One organization, practical internal use
Subject to payment and compliance with these terms, Sentinel grants a nonexclusive, nontransferable license to use and customize the purchased bundle for one legal entity and the locations operating under that entity’s shared QMS. The license continues unless terminated under its terms.
You may:
- Make working copies and reasonable backups for the licensed organization.
- Adapt wording, branding, document numbers, roles, workflows, forms, and editable fields for that organization’s own QMS.
- Use the files to implement, maintain, audit, and improve that QMS.
- Share completed records, completed reports, and adopted controlled documents with employees, customers, suppliers, auditors, certification bodies, regulators, or other parties when reasonably required for legitimate business or conformity-assessment needs.
Internal adoption using your own company name and branding is permitted. This does not permit repackaging Sentinel’s templates as another template product.
Restrictions
Without Sentinel’s prior written permission, you may not sell, rent, sublicense, give away, publicly post, or otherwise redistribute blank, substantially blank, master, or source files. Do not remove Sentinel’s source IDs, copyright, license notices, or origin information from blank or master files. Do not rebrand the bundle or a substantially similar derivative collection for sale or distribution.
One purchase does not cover unrelated companies, separately incorporated affiliates, franchisees, or multiple consulting clients. A service provider may access the licensed organization’s customized files solely to support that organization, without reusing the master content elsewhere. Any broader use requires a separate written agreement; no consultant or multi-client license is included by default.
Ownership and included release
Sentinel and its licensors retain ownership of the original template content and other intellectual property. The purchasing organization retains ownership of its company-specific data and completed records.
Unless the order expressly states otherwise, the license covers the purchased release only, including its listed transition-readiness materials. Later revisions or additional standards-transition updates, customization, consulting, implementation, training, audits, and ongoing support are excluded.
ISO and certification
The files contain original implementation guidance. They do not include or license the official ISO standard or ISO logo. Obtain the applicable standard from an authorized source. ISO and its marks belong to the International Organization for Standardization. Sentinel is independent of ISO and is not endorsed by it.
The bundle does not guarantee certification or replace a certification body’s assessment. The licensed organization remains responsible for applicability, customization, approval, implementation, training, record retention, cybersecurity, legal and regulatory compliance, customer requirements, and continuing QMS effectiveness.
Warranty and liability
To the extent permitted by applicable law, the bundle is provided “as is,” and Sentinel disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. No warranty or remedy is excluded where that exclusion is prohibited by law.
To the extent permitted by applicable law, Sentinel is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, lost revenue, lost data, business interruption, audit findings, failed certification, or third-party claims arising from use of the bundle. Sentinel’s aggregate liability relating to the bundle will not exceed the amount paid for the particular bundle giving rise to the claim. These limitations do not apply where prohibited by law.
Termination and other terms
The license terminates upon a material breach not cured promptly after notice, or immediately for unauthorized resale, redistribution, public posting, or deliberate removal of source or license controls. After termination, stop using and delete master and blank files. Completed business records may be retained when required by law, contract, audit, or approved retention rules.
The license cannot be assigned without Sentinel’s written consent. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Changes must be in writing and authorized by Sentinel. An accepted order form or signed agreement controls any conflict with these terms.
